Bill, schedule 13 is filed well after the fact. MP is never a passive player. I do not know which active he will take but he will be a stockholder so you bet whatever he does his aim will be to maximize value!

WASHINGTON, Feb 6 (Reuters) - A group led by Franklin Resources Inc (BEN - news) said in a Securities and Exchange Commission
filing Friday it holds a 5.5 percent stake in Oxford Health Plans Inc or 4,331,300 common shares.

The group disclosed its latest position on Oxford in a 13G filing. The stake includes 60,000 common shares that would result in the
conversion of 60,000 convertible preferred units, the filing said.

Filings under 13G are usually made by institutions and large investors with ''passive'' investment objectives in a company. Unlike 13D
filings, those reports do not list the latest transactions.
