Hello Mike, A beneficial owner is a person entitled to benefits of ownership whether or not another entity holds the security. As used here it applies to one who has either sole or shared voting power and sole or shared dispositive power. This particular 13G represented the securities for which there are shared voting power and shared dispositive power between the respective general partners of the reporting entities. Think of it as equitable ownership which may or may not be different than legal ownership. I hope this makes sense! Cisco
