Until you mentioned it I hadn't even thought of a charge.

Chances are many of these ~25 people would have been associated with assembly, testing and technical support so they weren't necessrily being paid any large salaries.

Let's see - San Antonio and I have a good idea what the engineers are being paid.

any idea what they base these charges on?

Yea, darn converts. They're never any fun but since the market is very efficient I'd expect them to have priced the expected outcome into the stock starting long before the deal was even announced. Problem here is due to the sliding conversion movements in the share price are somewhat accentuated by the effect it has on the number of shares the privates get. I wonder if they pre-hedged any of the deal?
