Regarding designated securities (from a professional - my brother the broker):
A DESIGNATED SECURITY is generally defined as:

Equity securities of companies having less than $2 million in net tangible assets and selling less than $5 per share. Securities listed NASDAQ or other national securities exchange are exempt from this rule.

Designated securities have more restrictions with regard to brokers soliciting investments in them, such as
1) investor accreditation
2) due diligence from firm
3) specific permission from firm's compliance officer to trade the
stock, and
4) disclosure requirements.
