Dale, this note was posted on AOL, and directed to you. Here is the reprint:

Subject: WARRANTS

TO DALE ON SI:
YOU LOOK AT THE SITUATION FROM ONLY ONE ANGLE. TURN AROUND AND LOOK AT WHAT JMAR DID IN THE PAST. LOOK AT $12MIL IF STOCK GOES HIGHER
OR MORE IF EXTENDED WITH HIGHER STRIKE. IF YOU CANCEL THEM NOW, IT WOULD COST CO. MONEY TO ISSUE MORE. ALL KINDS OF FEES. I WANT TO ASK
HOW MANY SHARES DID MICROSOFT COME OUT WITH? HOW MANY WILL IT HAVE AFTER THE SPLIT? DOES IT MATTER THAT MSFT WILL HAVE 2.4 BILLION OR 2.5 BILLION? NO, GATES IS STILL THE RICHEST GUY. 17M OR 19M .. ITS NOT GOING TO KILL ANYBODY. WHAT IS GOING TO KILL US IS EARNINGS AND REVENUES IF THEY GO DOWN AND NO PRODUCTS COME OUT? LET THE AMERICANS FIGHT BACK THE SHORT TERM MISTAKE OF THAT PRIVATE PLACEMENT.( IT MIGHT BE GOOD IN THE LONG TERM). IF WARRANTS ARE NOT EXTENDED, IT WILL BE A MISSED OPPURTUNITY IN THE PRESENT. REMEMBER,OLD MAN INFLATION IS HAVING LUNCH WITH EL NINO, AND IF THINGS GET TOUGH ONLY THE TOUGH WILL GET GOING? JMAR IN THE LAST 3 MOS WAS NOT TOUGH AT ALL. ANY INPUT OUT THERE?

Billberry- Thank you for forwarding the message from AOL to me.

I have considered the issue and have arrived at a scenario whereby I could accept the extension of the warrants as fair to all involved. The value of the warrants today is 15 cents. If the company desires to extend the warrants they should do so in such a way that the immediate market value doesn't increase to more than 15 cents. Lets say a 1 year extension with a exercise price of 15 dollars.
JMAR's valued shareholders who hold warrants would have to be pleased that JMAR saved their warrants and didn't allow them to expire worthless.
JMAR's valued shareholders, such as myself, who never gambled on the time sensitivity of warrants would be pleased that if the warrants were to be exercised, and our company's float were to be diluted, at least it would be at a good price.
I may be in the minority here, but I still believe in the potential of this company. I believe the stock price could very easily be over 10 dollars a share by next year, which is why I'm against warrants with an exercise price of a mere 4 1/2 dollars.
Thank goodness this issue is almost resolved.

Dale

Bilberry,
I appreciate your well thought out explanation on the warrants. It is clear, concise, based on fact, and past history of these situations. Some of the scenarios for extending and not extending are getting out of hand. I don't think JMAR should do anything to "bail out" warrant holders, as some see it. I hope JMAR does the right thing for JMAR and let the chip fall where they may.
