You will see that the paragraph which sets forth Quality Products' alleged improper conduct (the "charging paragraph", in lawyer's terms) is Paragraph II(C), which states that the last improper act occurred in May 1994, a full 10 months before Mr. Raabe joined the Company. Indeed, the improper acts led ALL of Quality Products directors to resign in 1995 to make way for Mr. Raabe and his clean up crew. Raabe held down the fort for a grand total of 11 months, and then brought on turnaround expert Bruce Weaver to try to save this beleaguered company. Raabe could not in 11 months undo all previous management had done, but his role was plainly that of a shareholder attempting to save that company, and nothing else.
