Dean:

Found it! Following are the reasons to buy MDIN over NPEC currently. Also, look back a few dozen posts on the MDIN thread if you like as I posted the strategy I use as to which to buy when to move between the two.

1. MDIN has less than 1/2 the total outstanding shares then NPEC does. MDIN is under 40MM, NPEC is at roughly 87MM.

2. MDIN has less thant 1/10 the number of shares in the public float right now. Over 31MM of MDIN's 39MM shares are 144 and don't come off restriction until August of next year. More on this to come at a later point, but let's just say it gets better.

3. Based on my conversations with management they seem more focused on getting MDIN to fair value than worrying about NPEC getting to fair value. There are several reasons I believe this is the proper approach which I can go into further if you'd like.

4. Outside of Brazil, NPEC's assets are the 20% of the Chile properties of which MDIN owns 80% and the 14.4MM shares of MDIN. The oil is in dispute and I've heard we're in the courts suing for damages. How much I don't know.

5. My calculations show that MDIN:NPEC should be at 5:1 based on what NPEC owns of MDIN. Currently it's around 4:1 which means either MDIN should be higher or NPEC should be lower.

6. MDIN has publically stated that it will be a reporting company with the filing audited financials to the SEC for the year ending 12/31/97. I know the name of the accountant that will be doing the auditing. I know of a couple of people pressuring them to do the same for NPEC but until they commit to it, there's the risk of being one of the 3500 delisted stocks.

Regards,

KMT

P.S. Give Ralph Ulm, IR for MDIN, a call and he can update you on the latest happenings with MDIN. This will get you updated on NPEC (less Brazil) also.
