Alan, MEME filed S-8 Feb 13th 1998 registering 400,000 shares for Newlan Securities. I didn't read so closely ... but my impression that it was something that originated from a private placement (perhaps long ago???)

On Dec 18th 1998, MEME filed an earlier S-8 giving 100,000 shares to Nibar Securities for a "consulting service agreement".

I looked up MEME on www.edgar-online.com but came up empty.

I got the above info via bloomberg.

S-8 does not mean Newlan will sell. . . just that they are taking possession of the shares which they can later sell if they wish.

As to how many private placements were done (and how much stock is yet to be created) ... I guess one would need to do more edgar digging in the hopes of uncovering the S-3 or SB-2 (or S-8 as they are sometimes inside). There were quite a few S-8's listed for MEME. I opened only the 2 most listed (above).
