PAC,

I for one have never been against the buyback. Your points are well taken. DCI is an M&A company which issues shares of stock to complete the deals. If they have the cash to repurchase undervalued shares at $1.90 and later on issue shares worth $3.00-4.00 to make an acquisition then IMO they did good. In the end we will all be better off with fewer shares outstanding.

Best Regards

My take is that IF it is a fact that there is a big seller who is determined to sell no matter what, then let the shares come out and THEN buyback. I don't understand why we would buyback shares when previous to that decision we knew there was a seller. That basically says to the seller, keep selling and we will keep the price high for you. This "seller" has sure been persistant in the selling pattern so I believe the selling would continue without the buyback even though the shareprice would continue to plunge.

Also, if we plan to use the bought back shares for M & A, we have more buying power with cash than we do with shares any day.

According to my watching of the tape as posted by some of you guys(thanks grupo!!), this "seller" has been with us a long time and always sells when "waves", "news" and other rumors of strength leak here. That is VERY PRUDENT on the seller's part as it guarentees buyers will be lined up for the shares.

No offense to mgt meant here(I know I will get flamed but I am use to it), I like the fact that Joe M posts here and answers questions as it shows genuine concern for his shareholders but WE CAN DO WITHOUT PRE-RELEASES and innuendos about good stuff coming as it basically announces another selling opportunity. Announce news through PR releases only! The seller will never be able to predict ahead of time when to sell and will have to try to sell after news hits(narrows down the buying days).

I am sure the likes of Colin can give a much more detailed "accountant's view" of some downsides of the buyback. I beleive he referred to it as "mgt's folly" in my memory serves me in my old age here.

Good luck all.
