if i understand you right, you have one phone line and 2 modems each attached to one computer , while the phone line is switched between the modems , right? (i have some probs to understand the role of the 'com switching device', maybe its used for switching the phone line?).
ok, now you want to install a proxy server (winproxy or wingate or whatever) on one computer, making this compie your gateway machine. but sometimes your gateway isnt running and you want to have a direct connection to the net via your second computer. if this is the scenario, well, it works, sure. the only thing is, you have to adjust the proxy settings in your internet programs on your 'second computer': while you are running your gateway all programs on your second workstation must have their proxy settings adjusted to the adress of your gateway (e.g. the ip adress of your wingate machine). in case you have a direct connection (your gateway is down) you must disable the proxy settings.
