Hello Ernie,

IMO, cash is nice but certainly not king in the M&A world. In fact,
it is used at a minimum. Performance based shares are a great
way to go if you can get by with it and lets face it, the companies
we are gobbling up have to love the "po" of those type deals as it
gives them more bang for their contributions. You asked what would
happen if DCTC was trading at $1 or less......we'd have to cough
up tons more shares for the same purchases, hence the reason for the
buyback. IMO, the buyback wasn't created for the shareholders to
garner a trading opp but for DCTC to have more leverage in their
upcoming transactions of which there are many. Personally, I'd like
to see the stock at 10, not just because I own a ton, but because
I'd like to see what Mr. Murphy could do with that much leverage at
his disposal....frightening thought(G).

If DCI fell below $1.00 I do not believe the WorldPass acquisition would close.
