Chris, I urge you (very strongly) to read the proxy you recieved in the mail very carefully. Specifically pay close attention to the employment agreements of Bob Din and another executive. Din made close to 750K in '97, completely out of line with performance of the company. Furthermore, his contract entitles him to 3.5% of pretax income of the company as a bonus if pretax income is greater than $4.5M. Another executive is receiving a 2.5% cut of pretax income. If all the managers are eating the pretax income their will not be anything left for shareholders. Before you and I completely panic we need to crunch some numbers to see what these bonuses really mean. For example if pre-tax income was $100M, I have no problem with Din taking $3.5 of it,however he shouldn't be taking 3.5% year over year on base business. If he grows the following years pretax from 100 to 200 he should be entitled to another 3.5 not 7. Any way we dice it this is a problem. We should discuss and approach management.
