<If CPQ stock remains depressed it means CPQ has to dish out more shares instead of less shares to consummate the deal.>

Mohan,

This is incorrect. The deal is for $30.00 in cash + 0.945 shares of CPQ for each share of DEC. The value of the CPQ shares will be lower, but the quantity remains the same.

Larry

It won't have any impact on the DE acquisition , unless CPQ is to raise that $30 by selling
its own stock in the market. Of course, the depressed price of CPQ stock will make DEC's share holder less happy and may turn down the merger on the board . Now, it is a good opportunity for DELL to bit against CPQ with its inflated stock price.
