Scott - sounds like you know something about "Arms length" transactions....please fill us in.

The most recent SUNY 10-K details whatever value SUNY may have held going into the merger/name change. Also, the recent SUNY/Nanopierce/INCE press releases contain an overview of SUNY's year over year performance, 1997 vs. 1996. I'm hard pressed to find any fundamental value in the transaction, other than the separation of the PI Technology away from the highly diluted INCE stock itself. Nanopierce is a pure PI Technology play. Ultimately, if INCE shareholders receive NPCT shares, and a market is made for that stock....this move could represent tremendous value to INCE shareholders.

What bothers me is that the former SUNY shareholders may now own a good amount of Nanopierce, and if Paul is successful in signing an alliance deal for Nanopierce, and a market is made for the NPCT stock...the former SUNY shareholders stand to make an absolute killing.... considering who the former SUNY shareholder list consists of -- I think it's important to find out if Paul's wife received shares in NPCT in the process of "giving" the PI Tech patents to SUNY.

Just my opinion, and I don't know the answer(s) to the questions I pose...nor do I know if it's just me, or if it's truly unethical, or if their are legal implications behind the ethical issues.
