Typically (and in almost all cases), with a change in control of a loss company (company with tax loss carryforwards), the loss can only be used by the company that generated it (i.e. Orion). This will dictate the book treatment also.

The rule under 382 of the Internal revenue Code was intended to curb the practice of buying companies with huge loss carryforwards and offsetting them with other companies earnings. I would also expect that Orion's current losses will not offset any of Skynet's or SS/L's income due to the entity structure. The companies tax rate for books will be below the 40% federal/state rate once ONSI turns profit due to the utilization of these carryforwards.

OFF TOPIC: Viasat

One of Viasat's competitors is Titan/Linkabit. As you well know Titan is offer about 25% of Linkabit in the IPO market. How do you see Linkabit stacking up against Viasat. They are allied with Alcatel for the Indonesian contract. Looks as though they have a history of losses (while Viasat appears to have controlled costs reasonably well and has a history of profit). It also appears they were wanting the IPO in mid Feb, and have waiting for favorable conditions before executing. IPO price range of $12-14/share.

Just curious of your thoughts on Viasat's competition.

Thanks for the valuable information you have provided on this thread. I am a recent investor in LOR ( I was initially drawn to ORBI, but the thread was quite self-serving...difficult to draw objective info with all the high fives going on there) Anyway, looking for a long haul investment with you guys!! Keep upthe great work
