To All: I have been researching MEGW for the past few weeks and have found this to be an extremely interesting stock.

I believe the stock will increase in value because:

1. The new British investors are bringing in additional assets
which have not been identified (from a recent press release).

2. The Company wants to get onto NASDAQ and off the bulletin board. This was conveyed in discussions with the company and the shareholders meeting...Thus the reason for the reverse split. To get onto NASDAQ small cap or national...The company must trade over $3... I believe for a period of time and also meet minimum capital requirements (I think $10 mill). Current market cap is a little under $10 mill...based on Friday's close.

3. It has a profitable business right now ...the 900 services.

4. Superior management. CEO Levy comes from being a senior exec. at Time Warner.

What is interesting is the current interest shown by the British investors and the fact they intend to bring in new assets. They have provided the additional financing needed by the company to begin publishing its magazine ventures and also any other needs of the company; so there will be minimal dilution from here on. They have in return received an interest in the company in the form of shares which can be purchased for $3 and are then restricted from sale....I think for 12 monts.

After the reverse split there will be only 2.1 million shares...a large percentage held by insiders....(not sure how much).

The activity of the past two weeks has led me to beleive that the current price is the bottom....

I believe this stock could appreciate from here...it all depends on the assets brought in by the new investors and the development of the current businesses started.

This is I beleive a high risk/high reward stock....but I'm leaning toward high reward.

As a matter of personal preference I don't usually stray to the OTC-BB for stocks. I don't think this is a scam stock. I am a value investor, I want to purchase a $1 in value for $.40 and that's what I think this situation is.

good luck,

Bob DeHaven
