<< The $ 3.0 million owed by CT&T to Logi was assumed by CVNY and $350K was paid in cash with a a note for $ 2.6 million.>>

Why did CVUS allow this? Did it get a credit for this amount from its 7.5% gross revenue obligation to CT&T? If not, this is a BLATANT CONFLICT OF INTEREST and Shant will be held liable for breaching his fiduciary duty to CVUS shareholders. Shant better hire some lawyers.

Murray, after I left the last message I went and ran a UCC search on the "Logi" lien filings. It looks like your information is correct. Logimetrics assigned their lien to "Newstart Factors, Inc." in Stamford, CT on 1/2/98. The lien covered "equipment" and "computer equipment". Any risk to Logi would be on a going forward basis. FYI, the original lien from CVNY to Logi was dated 12/4/97.

The other interesting note is that there were no UCC filings for Morgan. Any thoughts anyone?

Lastly, the D&B for CVNY was fairly clean. A few late pays but nothing out of the ordinary for a small company.

Ken.

New to this thread, hope I am not subjected to a James Fink like volley of abuse but here goes. Do we know why the Logi note was discounted 10% when it was sold, it's either a really high coupon, Logi needs the money immediately or more worrying they doubt CVUS can pay. Couple of other observations. The New York spectrum has not exactly set the world on fire, by my calculation the non-PMSA market per pop price makes CVUS's spectrum worth about $1.25 a share. Even this price may be rich, the line of sight sucks in NYC, and it is one of the world's most competitive telecommunications markets. Also does anyone know if the PPE on the balance sheet is real given the way they changed business plans from video (bad) to internet (good).
