The transaction, valued at $13 million, will be accounted as a
purchase. 3Com will incur a charge of approximately $8.4 million
for purchased in-process technology associated with the acquisition
in the fourth quarter of fiscal 1998. Excluding the charge, the
acquisition is not expected to materially impact 3Com's fiscal 1998
results.
