Tom:

You ask Mr. Dal (a director) of Xecom:
"So, Dal, can you give us a hint at to what XECOM management is thinking of as far as how to raise money without diluting existing common shares."

I believe if you go to the following thread Subject 6911 you will see that the majority of Xecom directors are looking for some answers to the very same question you are asking above! Perhaps you can raise the question on that thread and the Xecom directors and/or consulatants (who are active participants on that thread) can give you a summary of possible answers to your question!

I just received this fax from FIG:

March 20, 1998

XECOM ANNOUNCES FINANCING EXPANSION AND RESTRUCTURING TOTALING $41,000,000

RANCHO MIRAGE, Calif.,--Xecom President, Joseph Vigliarolo, announced today that its wholly owned subsidiary, Select Switch Systems, Inc. (SSI), has completed a restructuring and expansion of existing Capital Lease Facility totaling approximately $41,000.000.

Under terms of the new leasing contract, obtained through First Continental Capital Corporation of Dallas, SSI will add approximately $10,000,000 to and existing $31,000,000 lease package completed in August of last year.

In addition to the new financing, repayment of the new combined lease has been expanded from seven to ten years, approximating the remaining life of SSI's contract for Barracks Phone Program. Payments for the new portion of the financing, which is being utilized primarily to expand switching, cabling, and wiring at both new and existing Military Facilities will be deferred until January 1999.

By restructuring the existing $31,000,000 lease facility from seven to ten years, SSI will reduce amortization payments by approximately $137,000 per month.

Xecom Corp., through its wholly owned subsidiary, Select Switch Systems, Inc., installs, maintains and operates turnkey residential barracks telecommunications, video and Internet services through and exclusive subcontract agreement with Sprint Corporation, to the nations Army installations.

Xecom is not running out of soldiers, rather the problem is getting the single soldier educated as to using his phone and getting a handle on the billing and collections currently administered by Sprint. This is very important because, as I think you're aware, Xecom is currently working on 11 bases newly-added to the contract. These bases have a single soldier population of about 23,000.

As the latest press release states, Xecom has just increased its debt by $10 million and management now feels there is enough cash in hand to finish these new bases. However, the Company needs to raise more equity and management is looking at several ways to achieve this.

You have good, valid questions and I hope I've addressed them.
