Acer Turns 5th Biggest Mobile PC Vendor with TI
Buyout

The Acer Group's purchase of Texas Instruments Inc's mobile computing business,
scheduled to be completed by March 31, 1997, will give the Taiwanese company a
Top 10 berth in both the US and worldwide mobile computer markets.

The combination of Acer's still fledgling mobile computer business with TI's strong
market position will place Acer in fourth place in the US market in terms of shipments
and in fifth place in the global market, according to figures from International Data
Corp (IDC) (see Table).

"This is a win-win situation for Acer, especially in the US portable computer market.
Buying into TI gives Acer ranking," said Randy Giusto, manager of mobile computing
research at IDC in Framingham, Massachusetts.

The long-term partners emphasize that the relationship is complementary: TI has been
strong in large US corporations and Acer has been growing sales to consumers.

"The acquisition of the TI organization, especially in the US market, gives Acer access
to the corporate market, large business and even small businesses, markets where they
have not had access before," said Steve Lair, formerly vice president of worldwide
marketing for TI's personal productivity products. Lair will become senior vice
president for sales and marketing for commercial systems at Acer America Corp in San
Jose, California. He will report to the Acer America president Ronald Chwang.

Lair said many details of the acquisition, including how the two companies will use the
existing facilities of TI in Temple, Texas, and Acer in El Paso, Texas, are still under
discussion.

What is already clear to analysts is that Acer will climb the mobile computing ranks
when the acquisition is completed. In the fourth quarter of 1996, TI had a 5.9% share
of the US portable computer market and 3.8% of the world market. That translates
into 90,000 units shipped in the US alone. Adding the 20,000 units shipped by 16th
ranked Acer, the total for TI-Acer is 110,000 units shipped in the US, IDC said. The
combined shipments also help bridge the gap with third-ranked Compaq Computer
Corp, which shipped 190,000 mobile computers in the US in the fourth quarter.

The top supplier is Toshiba Corp, followed by IBM Corp and then Compaq. Even the
NEC Corp/Packard Bell Corp union will rank below Acer-TI.

Acer's expansion comes at a time when Taiwan's top computer makers, including First
International Computer Inc, GVC Corp Mitac International Inc, Inventec Corp and
others are planning to boost notebook computer production this year anywhere from
60% to 150% over 1996 levels.

Acer Group chairman Stan Shih said Acer will benefit from more product offerings and
market share, and human resources in R&D, sales and marketing and service.

"The Texas Instruments sale to Acer brings us a world recognized name in mobile
computing," Shih said in a statement announcing the acquisition in late January. "TI's
well-established corporate customer base and national distribution channel are
expected to have a positive impact on the sales of our other product offerings." Shih
said Acer will continue to invest in key component technology and manufacturing
capability.



Further Investment Essential

IDC's Giusto said it will be important for Acer to pump money into the TI mobile
operation to grow it, and that in the past, Asian companies have tended not to make
such investments.

Giusto said the acquisition was a natural move, since the two companies have had a
strong relationship for the past 20 years. TI and Acer also have a joint venture
semiconductor manufacturing operation called TI-Acer Inc, which was formed in 1989
and became Taiwan's first manufacturer of dynamic random access memories
(DRAMs). Acer is one of TI's largest DRAM customers and has been the primary
manufacturer and co-developer of TI's Extensa mobile products.

Giusto said TI sold the mobile computer business partly because of a refocusing of TI
after the company founder died last summer.

"TI is refocusing on digital signal processing products, and anything else is being sold
off," Giusto said.

In a statement to employees about the acquisition, TI said: "The level of resources
needed to continue to grow and compete globally (in mobile computers) is more than
TI chooses to invest in view of other opportunities more closely aligned with the
company's strategic direction, which is focused on digital signal processing solutions."

Included in the sale - the price has not yet been disclosed - are TI's TravelMate and
Extensa product lines and titles to the two trademarks, license for use of the TI name
for up to three years, and use of TI's Temple, Texas mobile computer factory and
product inventory. TI said current employees in the mobile computing group may be
offered positions with Acer. Acer intends to continue developing and marketing both
the TI products and its own systems, the AcerNote Light and AcerNote Nuovo
notebook lines.
