Number of shares not that horrifying.

My take is this. My guess, without specific knowledge, just how it generally works smarts, is that almost all, if not all the share is question were issued at an exercise price equal to, at the absolute max, the public issue price. Which was what, $12 or so?

In all likelihood many of the execs. interests were probably granted at even lower prices.

In all likelihood most execs ar getting pretty piss pour cash wages at Rambus. Say 100k or under for most or all of the exercising.

Young crowd. Most of them probably don't have much personal wealth.

Now. If you were in that position, and you held say 4 million in stock valued wealth, but were living in a barely upper middle class house (or not), and your wife was starting to make noise, and your financial planner was saying, yeah, the upside is great, but do you really want to risk everyting?

Would you perhaps consider selling 10% at a mere 400% gain, minimum?

Actually, looking at your text closely. You have one director who sold out completely. And one VP who sold half. My guess is they are special situtuations. I.e. based on discontinued relationships with Rambus. The other three sold pretty small %'s.
