An S-1 is a voluntary filing between a Company and the SEC.
Why would you question if the SEC is investigating?

A S-1 is a registration statement filed with SEC to register for future sale, shares that heretofore were restricted from sale. A overhang are shares, such as these shares which now amount to 15 million, some of which will be sold in the open market. In this case it is hard to determine what portion of the 15 million will come to the market and at what price. Getting the stock, near term, back over 4 or 5 will be very difficult.
