Please don't quote me but I think we're
on the hook here..a holder of a convertible prffd
fully paid for in a cash account can sell short exempt..
ie no uptick required. If the convert is exercised at the
option of the holder; which it sounds like this one is..
So, you are long the prfd. you sell the common against the
long and convert..everything is offset

The company must force the conversion of the remaining
prfd..or pay them off..Either way not much left for us
common holders..
