Raefon.....Did Lang "expatriate" as in move offshore and renounce his U.S. citizenship ??? i.e.; Not subject to U.S. income taxes (or SEC jurisdiction) any more ??? (Well, subject to it, but out of reach of remedy.)

N.O.....Maybe there's still time for a class action on the 1996 front running ??? <G> (Okay, okay....no flames until I go get my marshmallows.)

You know I am always anxious to help.

According to the 1995 proxy, filed 3-21-96, Eugene Lang is listed as a 6.81% holder or 526,512 shares. In a footnote the proxy indicates the shares are held as follows:
"Includes 18,538, 203,000, 111,304 shares of common stock owned by Refac Technology Development Corporation("REFAC"), Refac International,LTD.("RIL"), and Refac Financial Corporation("RFC"), respectively. It goes on to indicate cross ownership. I suggest you read it but you get the point.
According to the 1996 proxy, filed 3-21-97, Eugene Lang is listed as a 6.1% holder or 471,877. In a footnote the proxy indicates the shares are held as follows:
"Represents 193,670 shares of common stock held by Mr. Lang and 166,903 and 111,304 shares of common stock owned by Refac International, LTD. ("RIL") and Refac Financial Corporation ("RFC").
The proxy goes on to indicate cross ownership of the Refac Technology etc, Once again, If you would like further detail read it.
Simply looks like his position was reduced by .7 (6.8%-6.1%).

In the 1997 proxy, dated 3-23-98, HE IS GONE. JUST LIKE THE OTHER GUY...I did not see any explanation or footnote...but...

Long retired as Chairman of Refac 7-1-97....But remains a director.
I believe everything I have posted is correct. This of course assumes the sources I used are correct. Have fun kids.
