Pfizer has 3 billion shares of common stock authorized and 1.388 billion issued in 1997. Source 1997 Pfizer Annual Report page 42, Consolidated Balance Sheet.

"We effected a two-for-one split of our common stock in the form of a 100% stock dividend in both 1997 and 1995. Both splits followed votes by shareholders to increase the number of authorized common shares." Source Pfizer 1997 Annual Report, page 52, paragraph 12 Common Stock.

Appears the answer is vote by shareholders and there is precedence in the past 2 splits.

I have no information other than to guess that it would require a vote of the shareholders. A stock split does not mean much at this point. Ron
