CellularVision USA Announces Closing of $10 Million Financing Package; CS First Boston Affiliate Provides Cornerstone of Financing April 7, 1998 07:00 AM NEW YORK, April 7 /PRNewswire/ -- CellularVision USA CVUS announced today that it has completed a $10 million financing package which will provide funding to continue the build out of the company's network infrastructure, expand its Internet subscriber base and provide operations support to existing services. The lynchpin of the financing package is the purchase by a CS First Boston affiliate of the Company's newly issued Series A Convertible Preferred Stock. In addition, a private investment firm, has made a $2 million stock purchase commitment which can be utilized at the sole discretion of the company. CVUS filed a Form 12b-25 with the SEC on April 1, 1998, allowing a 15-day extension for filing Form 10-K. The extension will allow the Company to include detailed information on the new financing agreements within the 10-K. The company believes this will be considered a "timely filed" 10-K for all SEC purposes. CellularVision USA, Inc. is the first Local Multipoint Distribution Service (LMDS) provider licensed by the FCC. This license grants CVUS 1,150 MHz of spectrum throughout the 1,100 square mile New York Primary Metropolitan Statistical Area, which encompasses approximately 8.6 million people.
