I agree with you on that. However, I was told when I called FAMH that they stated "proposed ratio" in the press release because that was the approximate ratio at the time.

I am not defending FAMH, Ira, or anyone else, just trying to clarify what I know.

Hypothetical Situation: What if on 4/30/98 FAMH is trading at $1 and ATXI is also trading at $1. This does not seem out of the question to me judging by recent events. Would Ira then stick to the "proposed exchange rate" of 4 to 1? I give him more credit than that.

Sapper! Take 15 minutes out of your DAY and listen to the CC replay.

He stated over and over that was a PRO-FORMA number .. a hypothetical based on the trading prices of ATXI and FAMH at that time. Listen to the CC. 4:1 was PROFORMA at THAT time.
