Richard Newton:

Your question is not clear to me. Perhaps you do not understand the SEC foiling requirements, so I will explain the filing of financial statements with the SEC to you.

Veronex has a fiscal year end of February 28. The most recent audited financial statements are as of February 28, 1997 and these are posted on the WEB Site. These audited financial statements were filed with the SEC as required.

There are not interim audits. The audit process is an annual audit process. I believe that the same is true for all public companies including Microsoft, IBM and Intel. Veronex files its financial statements with the SEC as required. The filings are manual, therefore, Veronex posts its published financial information on its WEB Site. If you want a hard copy of these financial statements simply send Veronex your name and address and a complete info package will be mailed to you. The info package will include the Form 10-K and most recent Form 10-Q. These will be the actual financial statements as filed with the SEC. There will be an audit opinion from Coopers & Lybrand, Veronex independent auditors, attached to the Form 10-K.

Veronex has never filed electronically in the past, but is considering doing so in the future. In the meantime, the financial data you are seeking is available and it is audited.

Regards,

David Hite
