I knew that I had to have missed something and that you would catch it for sure.

Now how would you suggest we deal with that -- something simple, please.

How about the consideration paid, in the event of an acquisition, being substituted for the stock in question, as of April 23, 1999. If it is cash -- then it would earn 10% interest per year, from the date of acquisition. If it is stock -- then it would be the value of the stock as of April 23. If it is a combination of the two -- then it would be handled in accordingly -- as suggested above.

Now what else have I missed??:)
