With this type of selling going on, I must conclude that the future outlook for Intel isn't very favorable. Is there any news that would justify such selling? News like options are coming due, sending kids to college (joke), or ???

Sure hope we aren't being setup by the recent announcements that things would improve in the second half of this year. First the FTC is going to sue, and now major shareholders who are company officers are selling large blocks of stock. I sure don't see any good in all this.

the total is as follows:

$63,740,230.00 at the reported prices.. not small, but not huge considering Intel's market cap. They guy selling $44M worth is probably starting his own operation.. the rest of them don't catch me as too large.

PS.. someone mentioned that divends were payable on the 28th or april.. that makes things a little more interesting.. it will be interesting to see what is reported this week.. if another say $50M-$75M goes through this week (on top of the other $63M) I would start to get worried..

Or if say Andy dumped a %hitload of shares ;-)

What you probably don't realize is that options mature, and they also expire. It is most likely these officers are exercising their options because if they don't, the options expire and become worthless.
All in mid - late April, must be expiration date is near.

The Proxy Statement included in Intel's 1997 Annual Report shows the "Security Ownership of Certain Beneficial Owners and Management" and will give you the number of shares of common stock beneficially owned at February 28, 1998
(page 17).

You can see that the number of shares being sold is a fraction of the total amount any individual holds and that Yu, Otellini, and Parker received addiitional individual option grants in the last fiscal year, 224,000 to 232,000 each (page 15).

The news you present is interesting but far from devastating.
Check it out.

I imagine you've sold off bigger percentages of your holdings at one time or another.

Yes, it is stock option season at Intel and you will notice that other than Arthur Rock, all sales went through ML, the company that now handles Intel's employee stock option program. This does not mean that all of the options were expiring, but I would bet most were. If those option were not ISOs per IRS rules, then even if they were purchased and held the gain would be subject to regular income tax that must be withheld by Intel (and paid by the employee if he/she chooses to buy and hold). If they were ISOs, the AMT bill that would be due next year could be huge depending on income levels, and in some cases you can end up paying more taxes when combining AMT and long term capital gains then if you just pay regular income tax... yeah it doesn't sound fair but then again we are talking about the government.
I would not read too much into this considering the additional holdings most of the insiders have... but then again guys like Kurlak will have a ball with stuff like this and so will a few of the trade rag writers who love sensational headlines.
