The following URL contains the SEC filings of USDI since 1996. There are some obvious concerns that arise from looking at these filings.

Please note the following:

- Company used to operate as Viscorp.

- The company has not had an independent auditor since their last one, Blackman Kallick Bartelstein, LLP, declined to stand for reelection in Sept. 1997 due to doubts about the company's ability to continue as a going concern. Latest filing on this subject is an 8K on 2/19/98.

- The company's balance sheet filed 11/25/97 for the period ended 9/39/97 shows an insolvent situation where Accounts Payable alone is almost equal to all assets, both current and long term.

- The last 10K, filed 4/15/97 for 1996, should be read to provide a context of where the company has been. No 10K has been filed for 1997.

All in all, while it seems obvious on the surface that USDI is about to announce something that might justify the increase in stock price the company's current unmet obligations and lack of an independent auditor are something that could have a lot of ramifications now and going forward.
