What makes you believe that Yeros and Berman could hold off a tender that eventually swallowed the company? Management can only vote those shares they control. There are almost 11,000,000 shares up for grabs, more if you conclude that some of the Cymedix shares held in street name by their former venture fund investor can quietly sell us all down the drain.

Most of the holders of the 11,000,000 shares have stock they bought during the period 12/97 - 4/98 when the stock traded as low as $.125 (1.5 million shares worth of trades) and no higher than $.375. Even more shareholders own stock purchased from $8.00 on down to $1.50. Two very different groups. Both groups are looking for an exit strategy. One group will have, on average, tripled their money at $.75, the other will take advantage of the liquidity to get out.

This is a dream takeover. Poison pills only work when a majority of voting shares share the same goal. That's not the case here. Whoever starts this suspected tender doesn't need to work very hard. Take this rumor seriously. It's been ricocheting around for 10 days now.
