From the 14a filed on Edgar today, did you know of AMZN's compensation of outside directors through options?

COMPENSATION OF DIRECTORS

Directors of the Company do not receive cash compensation for their services as Directors or members of committees of the Board of Directors, but are reimbursed for their reasonable expenses incurred in attending meetings of the Board of Directors. In January 1997, the Company granted Mr. Cook, a Director of the Company, an option to purchase 60,000 shares of Common Stock at an exercise price of $1.3333 per share. In February 1997, the Company granted Ms. Stonesifer, a Director of the Company, an option to purchase 60,000 shares of Common Stock at an exercise price of $2.6666 per share. The Company currently
intends to compensate future outside Directors through the grant of options.


Nice deal, huh....60,000 options priced 92 points under the market....lets see, they each get about 5 1/2 million dollars, right?

Amzn will be electing 5 more directors at the annual meeting on May 28th........;^)

Do we need a debt to sales ratio now? For AMZN, given a face amount loan of $530MM
against "leading" sales of $400MM, it has a debt to sales ratio of 1.325 to 1!


This new ratio needs to be added to standard accounting principles.

Now, AMZN bears, let's not be too enthusiastic. I'm short here, as most of you know, and I finally feel comfortable in that position. My puts are the Aug 100's and my average short is @ 96 1/2.

Mr Beros has done a fantastic job and his ability to tap the junk bond market ensures that, for the next 5 years, he can stay in business. This will allow him the time to figure out 'what will be the next item to sell on the Internet'.

AMZN now cannot go broke for the next few years. I never wanted it to. Between now and the end of this year, Wall Street will simply ask AMZN for a more realistic p/e.
