The two-year waiting period is an accounting rule of business combinations. Any company that affects a pooling transaction
is prohibited from entering into another transaction w/in two years
of the last one. It is a FASB rule, not SEC.

Does this mean they cannot "announce" a pending merger before October or that they cannot merge before October, but could conceivably announce a merger tomorrow, creating a false price in the stock...based on "tomorrow's" news...
