I have no problem with Mincheff as de facto head of both companies, but to me this seems curious UNLESS (i) the merger and (ii) mutually acceptable financials and (iii) SEC approval are all a certainty.

Otherwise, should not the two companies maintain separate legal AND operating deadlines until this process is completed? Or, since the companies are controlled by the same entity or group, which is going to effect this merger come hell or high water, why not merge the operating identities now? If the latter is the attitude, then there presumably is a ratio of ownership already worked out for the new company/combination, since commingling of management, technical personnel, ideas, etc., will make it impossible to LATER segregate and value the 2 entities for purposes of a "fair" stock/equity ratio?
