I'm pessimistic there was a formal offer, for the following reasons:

1- Canadian laws dont't allow for pooling, making a large deal like this very unattractive to Nortel. (I believe in process R&D can't be written off).
2- If the rumor of a $ 32 offer was true, why is this stock trading well below that ?
3- Convergeance of Voice/Data is Nortel's biggest focus. What are they getting from Bay that helps them achieve that goal ?
4- Investments by NT in Avici give them great routing talent and next gen Tera bit routing.(Former wellfleet talent, I'm told).
5- NT has no California presence, making integration of BAY very challenging.

I'm a skeptic. I don't see the value that BAY would bring to NT.(IMHO) Time will tell,

Dear blankmind - 1st, thanks for being the keeper of the benchmark. Regarding the buyout rumor, as I ve stated many times, I don't really count on that as a deciding factor; however, if people think they can market time such an activity, they probably should know when to hold and when to fold.

Having said the above, sharing the alleged mgt viewpoint, I don't see why BAY should be sold at firesale price. For those who think BAY doesn't worth more than what it is now, they should sell it. Plain and simple. If they think BAY worths less - some suggest the teens, I suggest they should trust their instinct and put their money where their mouth is - short it! Of course, from my perspective, they are playing with fire; but of course, jmho.

Personally, I am holding it long for now
