I finally was able just now to speak with Carol Klein, a representative of Banyan Healthcare Services.

To begin, the phone number for Banyan is answered as "Olde Philadelphia". My educated, partially substantiated guess is that Banyan was formed by Olde Phila. in order to consolidate medical services. They did acquire Laing (oxygen supplies, etc.) and are focusing on NuMed now.

Ms. Klein stated that BANH is a non-reporting entity, but that an S-4 probably will be filed with the SEC within 2 to 3 weeks in order to proceed with the NuMed deal. If anyone can inform me as to the laws re non-reporting public company, I would be grateful - it's a new one for me.

As is proper, Ms. Klein could/would not give me any details on Banyan's financial ability to complete any of the planned acquisitions. The only information she could send to me was press releases.

Again, has anyone had experience with a non-reporting public entity? BTW, I am long Banyan out of curiosity.

As regards MDIX, I feel one could say it's 50/50 whether the Banyan acquisition will be consummated, based on the fact that there is no information.

Would anyone be willing to speak with Medix regarding their knowledge of Banyan's ability to fund the deal? My meager phone energies are depleted.

Also, does anyone have experience with Olde Phila. or otherwise know of them?
