That's what I thought about the forms required....but wasn't sure of the percentage. So therefore, since Mr. D. only owns 600,000 shares, he does not own 5% of the TOTAL shares authorized...and so therefore he need not file ANY form.

Correct, plus, to answer little ding-a-ling, the company may only issue authorized stock. To increase the number of shares authorized requires shareholder approval to modify the articles of incorporation. So I really don't think that you will see anyone "minting" extra shares to raise capitol.
