A few good reasons, Maurice.

1) They are TFS's largest customer. They can't acquire TFS on an unfriendly basis without endangering the relationship with an important vendor. Remember, the real "value" of TFS leaves in the elevators every evening. Substituting stock options in MOT for those in TFS don't seem a particularly remunerative way to buy "talent."

2) Loss of the creative forces in the engineering department would leave MOT with only a shell of a company, good only for productive capacity. It would be cheaper (and more effective) to build productive capacity from scratch.

3) An acquisition by MOT (in the semiconductor business, too) would alienate NSM...no point in that.

4) Perhaps MOT prefers to be in a position to pick and choose the technologies it can use, rather than building them in house. If the company purchased TFS, could it recently have done something with Kopin, for example?

As I said, Maurice...lots of reasons.

That might be different from NSM, but we will most likely get a chance to determine that *following* an unfriendly bid for control. Both companies might be included in the long list of potential white knights. We should only be so lucky.
