If this is true than a vote wouldn't be necessary to request a delay in conversion until 1999. It'd be the shareholder's choice and could be used to promote the P's leadership role, forcing up the common while the MM's cover.

I have not seen anything like that... Looks like McAndrews is at it again. LOL

The company by laws are not the SEC filings so I will check out this little tid bit.

To my knowledge and the SEC filings the Preferred "A" series all converts on Oct 1998 and the preferred "B" which is the insiders series stock is in accordances to what you say but then again the B is held by only Dan and John and they hold more than 20% of the company so I do not think they can do anything reagrdles of wants desires wishes etc. etc. etc..

Read and learn the SEC rules and regulations that would really help you to understand a publicly traded company.

I could be wrong but I will check the SEC filings but the by laws don't mean dittly

I could be wrong though but I will find out.

According to the last 10-k, the preferred 'automatically' convert Oct 1998.

Will check the original SEC filing for the MIDLP. Maybe there are clauses for a MIDLP holder to request (in writing) that their shares don't automatically convert. Assuming that is possible, wouldn't having the 'automatic' conversion be kind of backwards?? (ie. State that Oct 1998 is the earliest that the MIDLP may be converted)
