Alcatel Alsthom to Acquire DSC Communications
ALCATEL ALSTHOM COMPAGNIE GENERALE D' ELECTRICITE Signs Definitive Pact to Acquire DSC Communications Corp.

June 4, 1998, Alcatel Alsthom Compagnie Generale D' Electricite (NYSE:ALA - news) and DSC Communications Corp. (Nasdaq:DIGI - news) announced that they signed a definitive agreement for ALA to acquire DIGI in an exchange of stock valued at about $4.4 billion.

Under the agreement, each of DIGI's approximately 125 million fully diluted common shares outstanding will be exchanged for 0.815 of an ALA American Depositary Share. Each ALA American Depositary Share represents 0.163 of an ALA ordinary share.

Taking into account cost savings, ALA expects the deal to be neutral to its 1999 earnings per share and accretive thereafter. ALA noted that this does not take into account the effect of ''substantial revenue enhancement'' expected to result from the transaction. The companies expect annual savings of approximately $200 million to phase in initially in 1998 with a full year impact in the year 2000.

Completion of the transaction is expected in about four months subject to, among other things, approval by DIGI shareholders.

Following the acquisition ALA intends to combine DIGI with its existing U.S. telecommunications equipment business primarily conducted through Alcatel Network Systems Inc. Proforma combined revenues for the combined companies for the twelve months ended Dec. 31, 1997, were approximately $3 billion.

My Fellow/Fellowette Asnder's: TY for the updates and Mea Culpa for what I am about to write: In our Rules of Etiquette, should we decide:

1. During mkt. hours, except for "breaking news," should we limit our discussions to ASND/ ASND-related topics?

2. Of course, should the contest be considered always pertinent?

3. Should brief comic relief in times of high-stress be acceptable?

4. Is the info. currently being xchg'd. here about ALA/DIGI sufficiently broad-range educational [= determining the basis for the actual price per share in the swap] to be relevant to many ?

5. Should Glenn be given pre-qualified special dispensation whenever he decides to "Phoenix bird" in our nest ? :)
