I bought the stock via a rec in the Dog House. I did not have the time to research any of the filings as the market was moving. As I watched the stock trade on LII it was trading "funny". I took a look at the filings and saw the Reg. I posted it right away and dumped the stock.
My mistake and it will NEVER happen again.

I agree with your assessment about Reg-S & S-8. Stay away!

Wasn't there a new law past last yr. about reg s shares? If done in the US they have to be restricted for 12mos. So if a company was doing a reg S for the proper reasons to finance a project that would add value to the co and increase the value of the shares within the 12 mo restricted time. Would that not be a viable reason for PP shares?
Now the word that striks fear in my heart in DEBENTURES.
I'm asking this question with no certain stock in mine. Just a lesson sort of.
