Where in the S-4 does it say that the merged company is issuing 70
million additional shares? Please tell me the page number.

And I would like to ask another question of the thread in general,
and specifically to those of you who have yet to vote your shares. It
seems obvious that ATCT is in need of cash, even though it appears
that they are on the brink of profitability. So, if the merger is
voted down, how does ATCT get access to cash? With an equity offering?
By borrowing from their bank?

If the merger is approved, IQI's banks have already committed to
providing cash to the merged company. Plus the new company will have
the backing of Thayer Capital, an outfit with considerably more finan-
cial power than ATCT.

I'm inclined to vote in favor of the merger, in spite of the large
debt and IQI's dependence on AT&T for so much revenue. The only thing
stopping me is that I still haven't received my proxy from my broker.
It's frustrating that others have already voted their shares while
I'm still waiting for the package to arrive.

Jeff,
This has been the worst performing stock in my portfolio. I'm pretty good at holding until a company turns around, but this one I just want to unload with a bare minimum of profit. Don't know if that's even possible for the next couple of years.
