AW and all: MCI/WCOM merger

It would be nice to see that the MCI internet properties are bid up by the justice-qualified bidders and maximum sales proceeds are derived.

As per the following news item EU approval may be obtained by Friday.

<And while we're on the subject of phone and Internet pairings, WorldCom (WCOM) rose 1-13/16 to 45-13/16, after a newspaper report said Worldcom's takeover of MCI Communications (MCIC) will be approved by the European Union by Friday. MCI shares rallied 3-3/8 to 54-3/4 >

May be it is good to buy some MCIC options ( Oct98 and beyond) to make little bit of side money.

On Three Concessions for MCI

The European Commission is zeroing in on three important additional concessions needed for the approval of WorldCom Inc.'s proposed $37 billion purchase of MCI Communications Corp.

Competitors and other interested parties received a fax Wednesday from the Commission asking them to comment on whether specific further concessions would amount to full divestiture, an indication of the precise terms of an agreement now being hammered out between MCI and regulators.

According to the fax, the Commission is weighing:

"Noncompete" provisions that would either prohibit direct solicitations or go further, requiring WorldCom and MCI to turn away contracts if they are approached by customers of the company that buys MCI's Internet business.

Divestiture of MCI's intranet/extranet business and associated value-added services, such as managed firewalls.

The transfer of MCI's Internet customers, including dial-up clients.

Since that accord was made, MCI has signaled its willingness to divest itself of further assets and entertain additional bids.

A spokeswoman for MCI said that WorldCom-MCI is "in productive discussions with the EC and [the U.S. Department of Justice], and we continue to have those discussions." She declined to comment further.

A Brussels meeting between the merger task-force team and representatives of national competition authorities in the EU's 15 member states is expected to take place Friday.
