According to Yahoo's Insider information, John Haran is the President of Cade Industries Inc. Yet I didn't see any mention of him in the recent SEC filing on compensation, and Yahoo's profile of Cade lists Richard A. Lund as President. Here are Haran's most recent sales: Date Action Broker Shares Price Value 12-May-98 Sold (S) - 10,000 4.13 - 4.19 $41,330 8-May-98 Sold (S) - 10,000 3.56 $35,600 7-May-98 Sold (S) - 5,000 3.5 $17,500 6-May-98 Sold (S) - 5,000 3.44 $17,200 5-May-98 Sold (S) - 5,000 3.38 $16,900 29-Apr-98 Sold (S) - 15,000 3.31 $49,650 19-Feb-98 Sold (S) - 20,000 2.5 - 2.53 $50,525 It appears that Haran still holds 266,228 shares of Cade. Does anyone know if Haran is the President of Cade? If so, does he receive compensation in the form of stocks, and why isn't he listed, with his compensation, in the SEC report? Was he recently replaced as President by Lund? Molly Cade is listed as a Director of Cade Industries Inc., and unlike Haran, she is discussed in the recent SEC filing. Her recent sales are: Date Action Broker Shares Price Value 15-May-98 Sold (S) - 79,000 34 $2,686,000 14-May-98 Sold (S) - 11,000 4.03 $44,330 13-May-98 Sold (S) - 50,000 4.22 $211,000 12-May-98 Sold (S) - 60,000 4.22 $253,200 (Her May 15th sale makes no sense, given the reported price of $34. Yet the math checks out. Anyone know if this is correct?) Molly Cade currently owns over 4 million shares. However, even if her recent sales are due to the "charity" work previously mentioned, wouldn't it make more sense to simply donate CADE shares to the charities if she believed they would appreciate in value? Also, there are certain tax advantages to donating stocks rather than cashing them in and potentially paying the capital gains tax. Even if she sold the shares for income, that's a lot of income for just one month! Maybe there's a reason for Cade's decline from its prior high of over 4? I'm not trying to rain on anyone's parade, but this all seems odd. I'm sure someone else must have looked into this, and I would very much appreciate any comments. -- Jim Wright
