Sales tax is not an issue. Companies don't pay sales tax based on where they are located but where things are sold. Corporation tax may be an issue. NYS is a high tax state.

I think that in general, where you are incorporated doesn't really impact your taxes too much as it depends on where your operations are. It is interesting from two perspectives.

* Why make the change?
* Why make the change when they did?

If the reason were tax reasons, I would think that this would have come up and been resolved long ago. I think it must have to do with the Delaware non-tax regs re corporations. Delaware is considered a very friendly place to be incorporated.
