Recollect that one of the accountants (MF bd) ran the figures on Cal corp tax vs Del for a savings (based on revenue projected from 2nd q 97) of $100,000. See that assumption of Cal corp was incorrect, but there were savings, sufficent over time to add up to real money, provided Cal tax rate on par or less than NY. Co. definitely emphasized savings as factor.
Bottom line was same as yours.

I think there was some sort of renewal, which gave the excuse for the
change. Again, BF (thqi mgmt.) was very forceful in conveying that he wanted the Del. incorp. The folder, Notice to Shareholders accompanying the 97 annual meeting, detailed this issue.
