The short answer to that is: I don't know what management's motives were since I am not an insider. But, logically the only motivation somebody would have to buy a shell instead of doing an IPO is because it is the cheapest way to go public. Most of these companies end up crashing and disappearing because they have no institutional following and no brokerage recommendations. That is usually the kiss of death.

If this company can get a brokerage firm to initiate coverage, it would probable see 10 dollars as quickly as yahoo went from 100 to 200.

So you're next question is: "How do they get a brokerage firm to initiate coverage?" The answer is simple: Run out of money fast and convince a respectable brokerage firm to do a secondary because it is the only way you can budget a lot for marketing and sales. They will also need money to hire a professional lobbyist to spend some time in Washington along with the other encryption-software-hopefuls.

In the meantime, I'll take ANY sale to ANY arms-length third party truly interested in using the technology.
