If your question is "can you include convertible debt in a 504 and have it convert to freely tradable shares following the 504 offering?" the answer is "only if the total amount of money raised through the 504 offering does not exceed $1 million during a 12 month period." Convertible debt and convertible preferred is seldom used in conjuntion with 504's although warrants sometimes are. You most often see the convertible preferreds in subsequent fundings.
