Over $41 the ratio is fixed for the number of shares. When the deal closes if the average price of WCOM is $60 then WCOM pays $60x 710554160 new shares issued which is about 43 billion vs if the average was 41/share the cost would be 29 billion. Either way the cost has to be written off over 40 years I think. This is not a pooling of interest deal the way I understand it. I am not an accountant so I'm not sure if its in the interest of WCOM for the stock price to be closer to 41 until the deal closes.
